Who I am

This website is operated under the business name ohqay, based in Calgary, Alberta, Canada. In these terms, “I”, “me”, and “ohqay” refer to that business. You can reach me at hi@ohqay.com.

What these terms cover

These terms apply to your use of ohqay.com and to software offered through the site. Ohqay also provides photography, videography, and colour-grading services. A service inquiry does not create a booking or contract; the scope, price, schedule, and service terms are agreed separately before work begins.

Latent, an OFX plugin for DaVinci Resolve, is currently in pre-release. Its page accepts waitlist signups, not purchases. The purchase, licence, activation, trial, and software-refund sections below apply when software checkout opens.

Purchases and payment

When software checkout opens, orders will be processed by Paddle.com, my merchant of record. Paddle will be the seller of record for your purchase: it will handle the checkout, payment details, receipts, and any sales tax or VAT that applies where you live. Paddle's own buyer terms and privacy policy will apply to the checkout, and its name may appear on your card statement. I will not see your card number.

After a completed personal software purchase, you will receive the licence key by email. For Latent Studio, each named artist will receive a separate key and the organization's contact will receive a delivery summary. The software will be downloaded directly from this site.

Your license

When you buy one of my products, you're buying a perpetual license — pay once, own it outright. Except for Latent Studio, the license is personal, non-exclusive, and non-transferable. One standard Latent license covers one person and may be activated on up to two Macs at a time.

A Latent Studio license is owned by the purchasing organization. Each paid seat is assigned to one named user and may be activated on up to two Macs used by that person. The organization may ask support to reassign a seat when its staffing or project needs change. Latent Studio is also required for work on productions with budgets over $2 million USD.

The Latent Founders Edition includes the v1.0 release when it ships and every update through v1.x. Version 2.0, when it exists, will be a paid upgrade.

You agree not to:

• share, publish, or resell your license key
• redistribute, sublicense, or rent the software
• reverse-engineer, decompile, or modify the software, except where the law expressly permits it

Activation

The software contacts my licensing server when you activate and periodically afterward to check the existing seat and refresh a signed 30-day machine certificate. The check happens quietly once a day when an internet connection is available. A connection failure does not disable the software: Latent keeps working through the certificate and for seven additional offline days after it expires. Deactivating a Mac requires an internet connection and releases that seat for another Mac. If you run into activation trouble — a machine change, a reinstall, anything — email support@ohqay.com and I'll sort it out.

Free trial

A free, watermarked Latent trial will be available at launch so you can evaluate the software on your own machine and footage before buying. The trial will be provided as-is, for evaluation only.

Refunds

Software purchases offered through checkout will come with a 30-day money-back guarantee. The details are in the refund policy.

Ownership

The software, this website, and everything on them — code, images, copy, and design — remain the property of ohqay or its licensors. Your license gives you the right to use the software; it doesn't transfer ownership of it.

Warranty and liability

I build this software with a lot of care, but it's provided “as is” without warranties beyond those the law requires. To the maximum extent the law allows, my total liability for any claim connected to a product or this site is capped at the amount you paid for the product. Nothing in these terms takes away consumer rights that your local law says can't be waived.

Changes

I may update these terms from time to time — for example when a new product launches. The date at the top always reflects the latest version, and continuing to use the site or software after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of Alberta, Canada, and any dispute will be handled by the courts of Alberta — except where your local consumer law gives you the right to something different.
